Admitted to practice law in Texas and Florida, Adam Litwin has extensive experience in a wide variety of business transactions. He works closely with clients of all sizes, from individuals and small start-ups to multinational public corporations, to provide strategic advice in a range of industries, from retail to technology services to entertainment and others in connection with corporate governance and various transactions including mergers and acquisitions, equity and debt private placements, performance of services and intellectual property matters. He has represented private equity funds, hedge funds, airlines and aviation companies, real estate holding companies, software companies, energy companies, telecommunications companies, issuers, investors, production companies, artists, filmmakers, actors, musicians, record labels, an internet radio network and non-profits.
Adam’s practice regularly involves drafting and negotiating a variety of agreements, including company operating agreements, investment agreements, independent contractor agreements, service contracts, loan documents, consulting agreements, non-disclosure agreements, intellectual property sale, option and license agreements, releases, collaboration agreements, co-production agreements, revenue sharing agreements, motion media production agreements, work-for-hire agreements, sponsorship agreements, music-related agreements and international distribution agreements.
Adam also has experience in forming, structuring and advising start-up businesses. He is well known for providing timely and thoughtful legal advice to numerous business owners.
Prior to joining Bell Nunnally, Adam worked in the corporate finance section of an international law firm before then becoming a founding and managing member of Litwin Law Group, PLLC. Before practicing law, Adam gained experience in the finance sector as a financial advisor with Morgan Stanley.
In addition to being an attorney, Adam is an actor, screenwriter and producer. His passion for entertainment law is fueled by his love of the industry and desire to help fellow artists protect their rights and make their dreams a reality. Adam is a committee chair for the board of the Entertainment and Sports Law Section of the State Bar of Texas, Council member of the Dallas Bar Association’s Entertainment, Art & Sports Law section, and is the legal chair of the Texas Association of Motion Media Professionals.
