Biography

Allison practices in the Real Estate section of the firm. In addition to extensive private practice experience as a real estate attorney, Allison’s background includes title underwriting experience as Vice President and Associate General Counsel for Hexter-Fair Title Company (now Hexter-Fair First American Title Company, LLC), and in-house transactional experience as Senior Counsel for Windstream Corporation (NASDAQ: WIN), a Fortune 500 Company.

  • Representation of affiliated borrowers in $100M + secured loan closings of permanent financings from Teachers Insurance and Annuity Association of America (TIAA).
  • Representation of borrower in obtaining $100M + construction loan and mezzanine financing for development of a hotel in the Victory Park/American Airlines Center office and entertainment district.
  • Negotiated on behalf of a borrower for the receipt of a $25M revolving credit facility to fund the borrower’s urban land development project.
  • Representation of national homebuilders and other developers of single-family residential communities throughout North Texas in connection with the resolution of development issues, including drafting and reviewing homeowners’ association documents, preparing easements, and negotiating development agreements.
  • Provided legal support for Windstream personnel in the $9B 2006 spin-off of Windstream from Alltel Corporation and merger with Valor Communications Group, including assistance with transition and integration matters and drafting and negotiating network separation agreements.
  • Served as the Legal Department’s Project manager for Windstream’s $585M acquisition of CT Communications in 2007.
  • Oversaw self-disclosure filings and negotiation of a Consent Agreement with the Environmental Protection Agency related to 510 sites.
  • Negotiation and documentation of over 140 corporate and network procurement transactions for Windstream’s equipment supply division and Windstream’s purchase of goods and services from national and international vendors, manufacturers, contractors, and software and hosted solutions providers.
  • Handled the $14M disposition of CT Communications’ corporate headquarters facilities located in Concord, North Carolina.
  • Represented Windstream in closing 23 separate transactions during a two year period for Windstream’s sale of over $7M of surplus real estate in Arkansas, Georgia, Kentucky, Missouri, Nebraska, New Mexico, North Carolina, Pennsylvania, and Texas.
  • Negotiated over 40 retail store and office lease transactions throughout Windstream’s operation territories.
  • Drafted and negotiated a national Sales Agency Agreement, a Marketing Agreement, and Private Cable Operator Agreements with DISH Network, LLC.
  • Represented Windstream and assumed primary drafting responsibility for the participating rural telecommunication providers’ agreement in connection with AT&T, Verizon, and Qwest’s launch of the online Movearoo platform.
