Laura F. James
Biography

Laura James brings to our firm more than 20 years of active corporate and transactional representation of entities and corporations including physicians, physician groups and medical organizations. Her healthcare practice focuses on the business of healthcare and transactional healthcare. She regularly assists healthcare clients with practice management, practice acquisition and disposition, contracting, leasing, employment, technology, regulatory (Stark Law, HIPAA, etc.) and compliance issues. Prior to joining the firm, Laura has worked for a Dallas-based physician practice management company serving as associate general counsel and as general counsel.

In addition to her healthcare practice, Laura provides outsourced general counsel services to two healthcare related technology companies and a large non-profit organization.

Representative Matters
  • Representation of physicians and physician practices in the addition or withdrawal of partners, the addition and termination of employed physicians and in the acquisition of practices.
  • Representation of ambulatory surgery center in the syndication of the center to physicians.
  • Provide advice regarding compliance with a variety of laws including state and federal anti-kickback and Stark laws and regulations, HIPAA, HITECH and Medicare compliance.
  • Responsible for development of policies and procedures including policies relating to privacy, security, sanctions and electronic resources.
  • Manage corporate governance and the legal aspects of corporate compliance program including risk management and development of legal frameworks relating to federal anti-kickback and Stark laws and regulations, HIPAA, HITECH and Medicare compliance.
  • Review and negotiation of various contracts including leases, employment contracts, income guarantee agreements, non-compete agreements, confidentiality agreements, loan and financing agreements.
  • Representation of physician in the sale of a medical practice to a physician owned hospital.
  • Representation of surgery center in the sale of majority ownership interest in the center to hospital chain.
  • Litigation management relating to six class action law suits, and physician partner dispute.
  • Representation in the purchase and sale of commercial real estate both as purchaser and seller and lease agreements both as landlord and tenant
  • Negotiated the sale of commercial property to a university to be used as a nursing school.
  • Representation of physicians in connection with the acquisition of multiple tracts of commercial property for use as medical office buildings.
  • Coordinated the corporate side of bankruptcy of a publicly held healthcare company including the sale of certain physician practice assets and ambulatory surgery centers.
  • Negotiated the sale of privately developed and owned software to a national trade association.
  • Negotiated a contract with the State of New Mexico for the provision of electronic medical records on behalf of an application service provider.
  • Representation of software development company in the licensing of its product to pharmaceutical companies.
