Biography

Stephen’s experience includes representing public and private companies in connection with mergers and acquisitions, other significant corporate transactions, as well as advising businesses on general corporate matters. Prior to joining Bell Nunnally, Stephen worked for an international law firm in New York City representing clients in both domestic and cross-border transactions.

Representative Matters
  • Represented a developer, investor and operator of power generation and energy infrastructure projects in its acquisition of several project facilities for a combined purchase price of approximately $825 Million in a complex deal with a trifurcated closing.
  • Represented Mercuria Energy Group, a Swiss-based global energy and commodity group, on its acquisition of Noble Americas Gas and Power Corp, the North American division of Singapore-listed commodity trader Noble Corp., with a book value of approximately $337 million.
  • Represented Affinitas GmbH, a German online dating company, in a stock-for-stock merger with Spark Networks, Inc., a leading brand for specialized online communities such as JDate and ChristianMingle.
  • Represented cosmetics company Elizabeth Arden, Inc. in the acquisition of its shares by Revlon, Inc. for a purchase price of approximately $870 million.
  • Represented a NYSE-listed electronics company in its acquisition of a global product engineering and software services firm based in California and India for a purchase price of approximately $325 Million.
  • Represented a management consulting and strategic planning company in connection with its sale through an auction process.
  • Represented Arrow Electronics, Inc. with respect to a Series D Preferred Stock Investment in, and a related buyout option of, a cloud computing business.
