Matthew is a corporate and transactional attorney focused on mergers and acquisitions, private equity and venture financings, and general corporate governance. He represents founders, closely held businesses, investors and strategic acquirers across the full lifecycle of a company, ranging from formation and early-stage financing through exit.
Matthew has led and supported transactions ranging from six-figure founder-led sales to eight-figure strategic acquisitions, bringing a practical, deal-oriented approach to structuring and negotiating complex transactions. His recent experience includes representing a Texas-based virtual preventive care provider in its $70 million sale to a publicly traded telemedicine company, advising an independent investment manager serving ultra-high-net-worth clients in its sale to a national wealth management platform, and representing S2 Capital in its acquisition of industrial real estate owner and operator Fort Capital. He has also advised a fast-growing food business in a multi-million dollar equity financing, assisted in expanding the ownership group of Texoma FC to include the Gronkowski family and worked on a pending $12.25 billion carve-out transaction involving blockchain technology assets.
In addition to headline transactions, Matthew regularly drafts and negotiates purchase and sale agreements, operating agreements, shareholder agreements and commercial contracts, and he advises clients on corporate governance, executive compensation and day-to-day business matters. He has experience supporting public company reporting and proxy work, coordinating diligence processes and virtual data rooms, and preparing disclosure schedules in complex transactions.
Prior to practicing law, Matthew worked in business across advertising, data analytics and finance, giving him a grounded understanding of how legal decisions impact operations and enterprise value. He continues to stay closely connected to the venture ecosystem and emerging company landscape, building on his time at the University of North Carolina School of Law, where he served as a contributing editor of the North Carolina Law Review and advised entrepreneurs and venture groups through the Startup Clinic.
