Recent representations include numerous mergers and acquisitions (M&A), business sales and spin-offs, private placements, private equity and venture capital investments, C-level employment agreements, and employee equity plans.
For many clients, Ray provides sophisticated ongoing general corporate advice, bringing experience earned in representing one company from its startup to $1 billion in annual revenue and having served as the CFO and general counsel of an enterprise software company that raised $33 million in strategic and venture capital. For corporate clients, he structures, drafts, and negotiates commercial arrangements, including complex software development and enterprise license agreements; limited partnership and LLC agreements; employee equity incentive plans; and service, supply, vendor and customer contracts.
