William A. DeLoach, III
Biography

Trey DeLoach’s transactional practice includes experience with mergers and acquisitions, commercial lending, general corporate representations, and general business and corporate governance issues.  His work includes the negotiation and preparation of purchase agreements, loan documents, corporate documents, partnership and limited liability company agreements, license agreements, services agreements, employment agreements, and noncompetition and nonsolicitation agreements.

Representative Matters
  • Counseled a bank in the refinancing of a $25 million credit facility with a regional restaurant chain and negotiation of an intercreditor agreement with subordinated lenders.
  • Advised a manufacturing company in the negotiation and documentation of a new $13 million credit facility with a national bank.
  • Represented a bank in the financing of a $10 million credit facility with a local automobile dealer
  • Represented a frozen food distributor in the sale of the company to a strategic buyer.
  • Counseled an investment company in the redemption of partnership interests from a departing partner.
  • Advised an investment fund in the sale of a billiards manufacturing company to a strategic buyer. 
  • Ongoing representation of an investment fund in the acquisition and restructuring of distressed debt.
  • Ongoing engagement by a manufacturing company for general corporate matters in both the United States and Mexico.
Noteworthy
  • From 1996 to 2004, Trey was the Associate Dean for Student Affairs at Southern Methodist University Dedman School of Law where he also taught Unincorporated Business Associations and Legal Interviewing, Counseling, and Negotiations.
