Kassandra G. McLaughlin

Kassandra “Kassie” McLaughlin has been practicing broad-based commercial real estate, including acquisitions and dispositions, leasing, debt structuring, and development for more than a decade, emphasizing asset management (e.g. leasing, tenant and lender relations) for small and large businesses—whether their core business is real estate or otherwise.

In addition to privately held companies and family trusts, Kassie represents several publicly traded real estate investment trusts (including traditional office building, storage facility and health care MOB REITs).

She represents both her large and small business clients in their general counsel needs, including entity formation and structuring, acquisitions, dispositions, mergers, construction and land-use issues, financing, litigation oversight and other matters. In addition, she acts as local counsel for out of state attorneys’ representing their clients in Texas transactions.

Kassie also helps her clients in planning, development and land use issues with the City of Dallas.

  • Negotiation of development terms with municipalities in connection with new development, including (i) multi-family (townhomes and apartments), and (ii) mini-storage facilities.
  • Negotiation of solar leases and options for solar power plant developers in West Texas.
  • Negotiation of long term land lease for a biogas production facility on a municipal garbage dump.
  • Negotiation of long term desalinization plant lease on an active power plant site, including negotiation of adjudicated water rights.
  • Negotiation of wind farm leases, interconnection agreements and third party easements for large scale wind farms in West Texas.
  • Negotiation of surface rights waiver agreements in connection with oil and gas mineral rights owners’ interest in surface estates affecting solar arrays, railroad yards, and commercial developments.
  • Negotiation of: (i) contract for sale of tenanted office building, (ii) tenant estoppels in connection therewith, (iii) defeasance of original collateral under encumbering loan documents necessitated by sale, and (iv) condemnation proceedings during sale’s due diligence and closing periods;
  • Re-platting, preparation of restrictive covenants, and sale of building sites in a Houston industrial park;
  • Representation of lenders on loans to site developers, including acquisition, construction, and mini-perm financing;
  • Representation of a regional bank in lending take-out loans to a Texas borrower for rehab, tenant improvements and leasing commissions for multiple properties throughout Texas, which loans were complicated by title and survey issues and the incapacitation of the borrower's principal and guarantor shortly before closing;
  • Negotiation of the: (i) partnership agreement for a newly-formed Texas limited partnership for acquisition of the assets of a landscape design and construction company in Austin, Texas; (ii) purchase of those assets from the company's family founders; and (iii) SBA loan financing the client’s equity contribution to the limited partnership; and,
  • Representation of a water service provider for oil and gas companies in the acquisition and due diligence of new sites, formation of new entities to hold the sites, and management agreements to maintain and operate the sites.
