Representative Experience

  • Advised the minority shareholders of a closely held bank through a tender offer and subsequent reverse stock split freeze-out, culminating in a multimillion-dollar settlement based on a significant increase in the cash-out price per share.
  • Negotiated an inter-creditor agreement with the mezzanine lender as part of our work helping a financial institution finance a $24 million purchase of a restaurant chain.
  • Represented a financial institution in the financing of a $40 million senior debt for the purchase and renovation of a hotel and the negotiation of an inter-creditor agreement with the mezzanine lender.
  • Represented a financial institution in the financing of a $15 million real estate secured transaction.
  • Engaged by a financial institution to handle a $15 million credit facility including an Export-Import Bank facility.
  • Represented national and regional financial institutions in mortgage credit facility restructurings.
  • Advised a major financial institution in the acquisition of subordinated debt from a New York investment bank.
  • Counseled a nationally recognized wholesale bank in acquisitions and dispositions of mortgage loan portfolios.
  • Represented an international private equity fund in the acquisition of mortgage loan portfolios.
  • Represented a major financial institution in a $100 million mortgage syndicate as agent to a Fortune 500 Company.
  • Assisted a major financial institution on a $45 million mezzanine loan for senior debt secured by multiple office properties.
  • Represented a management group in various recapitalizations as well as sales of a finance company involving several national and international banks.
  • Represented a multinational bank subsidiary in purchasing and servicing automobile loan portfolios.
